1. Introduction
Welcome to Soluvery. These Terms of Service ('Terms') govern your access to and use of Soluvery's websites, applications, products, services, and related offerings (collectively, the 'Services'). Soluvery Inc. develops software applications and solutions for Google Workspace, including productivity, workflow automation, governance, compliance, and security tools. By accessing or using our Services, you agree to be bound by these Terms.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use our Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Soluvery Services
Soluvery provides software applications, integrations, and related services for Google Workspace and other business platforms. Services may include Google Workspace add-ons, workflow automation tools, governance and compliance solutions, security and auditing applications, productivity applications, administrative tools, and future products developed by Soluvery.
4. Account Responsibilities
You are responsible for maintaining account security, ensuring authorized users comply with these Terms, providing accurate information, and maintaining appropriate security practices within your organization.
5. Acceptable Use
You agree not to violate laws, misuse the Services, gain unauthorized access to systems, interfere with Service operations, reverse engineer our software, abuse subscription limits, or otherwise use the Services in a harmful or fraudulent manner.
6. Google Workspace Integrations
Certain Soluvery Services integrate with Google Workspace and may access data based on permissions granted by users or administrators. You are responsible for ensuring you have authority to grant access to such data. Soluvery is an independent software provider and is not affiliated with or endorsed by Google except where expressly stated.
7. Subscription Plans and Billing
Certain Services require a paid subscription. By purchasing a subscription, you agree to pay all applicable fees, taxes, and charges associated with your selected plan. Subscription terms are described on applicable pricing pages, checkout pages, or order forms.
8. Free Trials
Soluvery may offer free trials or promotional access to certain Services. Trial functionality may be limited and may be modified or discontinued at any time. Access may be restricted when a trial period ends unless a paid subscription is activated.
9. Renewals and Cancellation
Subscriptions automatically renew unless canceled before the renewal date. You may cancel through the applicable billing portal or by contacting Soluvery. Cancellation prevents future renewals but does not automatically generate refunds for prior billing periods.
10. Pricing Changes
Soluvery may modify pricing from time to time. Pricing changes for existing customers generally take effect at the start of a future billing cycle following reasonable notice.
11. Customer Data
You retain ownership of your data. Soluvery does not claim ownership of customer data, does not sell customer data, and does not use customer content to train generalized AI or machine learning models. Our handling of personal information is governed by our Privacy Policy.
12. Intellectual Property
Soluvery and its licensors retain all rights, title, and interest in the Services, software, documentation, trademarks, logos, designs, content, and technology. Customers receive a limited license to use the Services during an active subscription period.
13. Feedback
If you provide feedback, suggestions, or feature requests, you grant Soluvery the right to use and incorporate such feedback without restriction or compensation.
14. Service Availability
While we strive to provide reliable Services, we do not guarantee uninterrupted availability. Scheduled maintenance, third-party outages, and events beyond our control may affect Service availability.
15. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided 'AS IS' and 'AS AVAILABLE'. Soluvery disclaims all warranties, whether express, implied, statutory, or otherwise.
16. Limitation of Liability
To the maximum extent permitted by law, Soluvery shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages. Soluvery's aggregate liability shall not exceed the amount paid by you to Soluvery during the twelve months preceding the event giving rise to the claim.
17. Indemnification
You agree to defend, indemnify, and hold harmless Soluvery, its officers, employees, affiliates, and partners from claims, damages, liabilities, costs, and expenses arising from your use of the Services or violation of these Terms.
18. Termination
Soluvery may suspend or terminate access to the Services if you violate these Terms, if required by law, or if continued access creates legal, security, or operational risk.
19. Governing Law
These Terms shall be governed by the laws of the Province of Ontario and the laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
20. Changes to These Terms
Soluvery may update these Terms from time to time. Updated versions will be posted on this page with a revised effective date. Continued use of the Services constitutes acceptance of the updated Terms.
